Huntington National Bank has an exceptional opportunity for a talented lawyer to join its dynamic Legal Department in Columbus, Ohio. You will be an integral member of a team comprising the Office of the Corporate Secretary and will significantly contribute to driving best in class practices and deep engagement with the Board of Directors and executive leadership team members with respect to corporate governance.

Job Description:

Provides legal expertise and support in the following areas:

  • Participate in the engagement of stockholders, proxy advisory firms, and other stakeholders on corporate governance matters and practices

  • Evaluate the companys activism preparedness

  • Advise the Board of Directors on corporate governance aspects of compensation and benefits

  • Evaluate potential board candidates and assist in the selection of new directors, provide orientation to new directors, manage director training and training opportunities, lead the board self-evaluation process, board operations and committee structure, and evaluate committee assignments for directors

  • Legal and policy matters related to Environmental, Social, and Governance (ESG) reporting

  • Contribute to Securities and Exchange Commission (SEC) reporting, including preparation of proxy statements and reports on Form 8-K

  • Lead the Director independence review process, conflicts of interest, related party interest, and potential interlocks issues

  • Ensure Insider trading compliance, including communicating trading guidelines/blackout, facilitating pre-clearance process, and preparing and filing Section 16 reporting/statements of beneficial ownership of company securities by directors and executive officers

  • Responsible for subsidiary management, maintenance of corporate records, and oversight of incumbency certificates

  • Coordination and distribution of D&O Questionnaires; ensure D&O Questionnaires meet legal requirements; and analyze completed questionnaires

  • Board and committee matters, including drafting board materials, minutes, policies, and updates to corporate charters and bylaws

  • Ensuring compliance with SEC and NASDAQ rules and regulations

  • Perform legal research on a variety of issues pertaining to securities law, general corporate law and stock exchange matters

  • Monitor emerging corporate governance regulation, litigation, issues, trends, and leading practices related to corporate governance

Basic Requirements:

  • Bachelors Degree and JD

  • 7+ years of experience as an attorney dealing with securities, corporate governance or investor outreach

Preferred Additional Qualifications:

  • Corporate governance, public company, and securities law experience

  • Strong interpersonal skills and collegial attitude

  • A collaborative team player who likes to work with others to get the job done

  • Ability to resolve issues, to get to yes efficiently and drive performance

  • Excellent time management and organizational skills

  • Demonstrated success managing multiple projects and competing priorities under pressure

  • Highly motivated self-starter with demonstrated growth mindset and passion for learning

  • Rigorous attention to detail with the ability to think creatively about unique issues

  • Enjoys the challenge of unfamiliar tasks and projects

  • Communicates clearly and succinctly to internal and external parties in a variety of communication settings and styles
