DUTIES AND RESPONSIBILITIES: Federal-Mogul's Powertrain Division is looking for a Corporate and Securities Paralegal that will be responsible for assisting in SEC related and public company filing as well as public board mechanics. In addition, responsibilities include general corporate paralegal duties, such as organizing and maintaining minute books and files for Federal-Mogul and its subsidiaries; maintaining litigation reports; forming and dissolving legal entities; and assisting with corporate compliance administration. This person will become a valued member of our Legal Department, where we strive to promote from within wherever possible; therefore, opportunities for advancement are strong. An ideal candidate for this position is a candidate who possesses a Bachelor's degree, a paralegal certificate, a notary public, and at least 10 years of working experience. Strong attention to detail, significant capability, drive, and initiative to create and manage own work agenda are all necessary qualifications for this position. RESPONSIBILITIES:* Primary Responsibilities:* Assisting in SEC related and public company filing as well as public board mechanics * Maintenance of corporate record books of public company * Assistance to securities attorney in making securities disclosure filings such as 10-Ks, 10-Qs, 8-Ks, and registration statements as well as beneficial ownership Section 16 filings * Assistance in drafting Board agenda, minutes and resolutions * Administration of certain private equity plans * Secondary Responsibilities, Assisting General Paralegal, as time permits:* Corporate Secretarial:* Organization and maintenance of minute books and files for Federal-Mogul's and its subsidiaries (both domestic and foreign). * Assist with preparation and maintenance of subsidiary Board and Committee meetings and records as necessary, including preparing agendas, drafting resolutions and written consents, tracking meetings and attendance, and processing quarterly payments to directors. * Prepare required proxies and/or powers of attorney. * Prepare and file federal and state (or other governmental agencies) filings and payment of necessary fees. * Update and maintain corporate database, including lists of officers and directors of the Company and its subsidiaries. * Manage formation of domestic corporations and limited liability companies, including drafting of articles of incorporation and operating agreements * Transactional:* Assist with due diligence and data room organization. * Prepare and coordinate closing (e.g. Secretary's Certificates, Incumbency Certificates, authorizing resolutions, appropriate transactional resolutions) and post-closing deliverables. * Assist in certain aspects of Hart-Scott-Rodino filings, including gathering documents in response to supplemental requests. * Prepare closing books, indexes and closing files. * Prepare and file corporate formation documents, including resolutions, filings, qualifications, and coordinate with the Company's tax department. * Assist with mergers and dissolutions of legal entities, both foreign and domestic. * Order UCC searches and other corporate documentation, such as good standing certificates and certified articles of incorporation. REQUIREMENTS: EDUCATION: Bachelor's degree required. Paralegal certificate required. Notary public is required (can be applied for and obtained after hiring). SKILLS & EXPERIENCE:* Minimum of 10 years of related work experience.* Must have experience either working in this capacity at a public company or working at a law firm assisting public companies in these functions* Familiarity with Diligence Board software, Romeo & Dye Section 16 Filer software and SEC EDGAR is preferred* Automotive industry experience is a plus* Demonstrated proficiency in corporate entity formation and management, including familiarity with applicable laws* Ability to maintain litigation reports* Detail-oriented, self-motivated and analytical* Demonstrated effective oral and written communication and organizational skills* Strong organizational, problem-solving and interpersonal skills, including ability to work collaboratively with a global team* Must be able to multi-task, be flexible, and be able to prioritize and complete projects effectively and efficiently while supporting multiple lawyers as well as corporate function team members* Demonstrated high proficiency in Microsoft Office Suite of products, entity management systems and database creation and maintenance* Paralegal experience supporting international operations preferred* Excellent time management skills and commitment to succeed in a fast-paced environment* Able to work independently while exercising initiative and good judgment* Ability to maintain a high level of confidentiality Equal Opportunity Employer Minorities/Women/Veterans/Disabled
