Carat, in partnership with the Carat Media Strategy, Planning,
Investment and Insights teams, Carat Content maximizes and
leverages brand spending and media-led content with publishers,
through the lens of a content strategy.
Job Description
Carat Content is looking for a unique person to support the team
within the Detroit Carat Office and across the General Motors
division teams. This person will report to the SVP, Director and
must have strong legal knowledge, good contractual negotiation
skills and the capacity to manage an extensive workload.
Areas Of Responsibility
Provide day-to-day business and legal affairs services for GM
branded entertainment, with a focus on integrations, original
development and production
Drafting and negotiating a specific type of contract called a Media
Integration Agreement ('MIA") on behalf of our client. This
requires a strong knowledge of contractual basics, an understanding
of the business terms that constitute the creative project as well
as an ability to foresee what could potentially go wrong when
reviewing/accepting the counterpart's redlines to the MIA. This
also includes the necessity to anticipate how our client's legal
counsel would view said deviations.
This position has experience in Programming, Talent, Publicity,
Music & Media Licensing, Labor & Employment, Risk Management,
Pre-Broadcast Content Review, Intellectual Property
Reviewing and approving legal contracts for execution; leading
and/or engaging in strategic deal discussions and researching
relevant business and legal issues
Providing risk assessment for production-related matters; advising
and communicating with the team
Maintain regular communication with the Carat Content team as they
will need to be briefed on any redlines that affect the business
points of the agreement and provide their input (e.g Right of First
Refusal, Exclusivity, deliverables etc.).
Keep timelines and maximize efficiency by reaching out to Carat
Content team and/or counterpart's legal counsel to follow-up on
redlines and schedule a call when necessary. This will also require
being able to explain legal language and our position during the
negotiations in a helpful, precise and concise manner.
Performing other day-to-day business and legal affairs-related
tasks
Keep multiple spreadsheets of different important actions/steps
within the contractual process for tracking purposes.
Prepare, send and track non-media purchasing documents for projects
that include production fees in excess of $20K;
Track all non-media purchasing requests in an excel
spreadsheet;
Obtain monthly timesheet reports for the team and track/present
information to supervisors;
Assist the team as needed on legal questions and seek help from the
Compliance Team and/or Carat Legal when needed.
Qualifications
Ability to read/understand a contract and its basics (e.g formation
of a contract, indemnification, force majeure, cancellation
language etc.);
Ability to negotiate a contract and to lead the final stages of a
negotiation on a conference call, if necessary;
Ability to work under pressure and remain calm and efficient,
manage considerable workloads and keep multiple deadlines;
Ability to work within a team but also to work independently;
Have a positive attitude, remain available to help the team and
keep a sense of humor;
Be resourceful and take initiative when facing issues (it's also
important to know how to ask for help);
Ability to track, extrapolate and present important information via
multiple spreadsheets (similar to a contract docket, timesheets
etc.);
Must be able to keep information confidential.
